Terms of Service

Important: ClimateRiskCheck provides data-driven risk information for informational purposes only. Reports are not a substitute for professional engineering assessments, legal advice, or regulatory filings. Do not base lending, investment, or insurance decisions solely on our reports.

1. Acceptance of Terms

By creating an account or using the ClimateRiskCheck service (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

These Terms constitute a binding agreement between you (or your organization) and Helora Labs ("we," "us," or "our"), the operator of ClimateRiskCheck.

2. Description of Service

ClimateRiskCheck is a data aggregation and analysis platform that generates property-level climate risk reports for Canadian real estate. Reports assess flood risk and wildfire risk based on publicly available government datasets, and are intended for use in mortgage underwriting, property due diligence, and portfolio risk management workflows.

The Service is offered on a credit basis. Each report generation consumes one credit from your account balance. Credits are purchased in advance through our billing system.

3. Eligibility and Account Registration

The Service is intended for business use by mortgage investment corporations (MICs), credit unions, institutional lenders, portfolio managers, appraisers, and other financial professionals operating in Canada. By registering, you confirm that you are at least 18 years of age and are using the Service for lawful business purposes.

You are responsible for maintaining the confidentiality of your API key and for all activity that occurs under your account. Notify us immediately at the contact address below if you suspect unauthorized use of your API key.

4. Credits, Payments, and Refunds

Credits are purchased in advance and are non-refundable once consumed by a report generation. Unused credits remain in your account and do not expire. Credits are non-transferable and have no cash value.

All payments are processed by Stripe, Inc. By making a purchase you agree to Stripe's terms of service. We do not store payment card information on our systems.

If a report generation fails due to a verified error on our part (e.g., geocoding failure, server error) a credit will not be deducted. If you believe a credit was incorrectly deducted, contact us within 30 days and we will investigate.

5. Acceptable Use

You agree not to:

  • Use the Service to generate reports for properties outside Canada
  • Resell, sublicense, or redistribute report data or API access to third parties without our written consent
  • Attempt to reverse-engineer, scrape, or systematically extract the underlying datasets
  • Use the Service in any manner that violates applicable Canadian federal or provincial law
  • Submit false or fraudulent information to obtain reports
  • Use automated scripts to generate reports in bulk beyond your purchased credit balance

6. Nature of Reports — Important Limitations

ClimateRiskCheck reports are derived from government-published geospatial datasets including Natural Resources Canada flood hazard data, the CWFIS National Burned Area Composite (NBAC), and related sources. These datasets have known coverage gaps, are updated periodically rather than in real-time, and may not reflect site-specific conditions.

Reports are intended as a screening tool to support — not replace — professional due diligence. A "Low" rating does not guarantee the absence of flood or wildfire risk. A "High" or "Extreme" rating does not constitute a definitive determination of unacceptability for any purpose.

We make no warranty that reports satisfy the requirements of any specific regulatory body, lender guideline, insurance underwriting standard, or government program. Users are responsible for determining the suitability of reports for their specific use case.

7. Intellectual Property

The underlying source data used in our reports is published by the Government of Canada and provincial authorities under open government licences. Our value-add — the scoring methodology, report templates, software, and API — is proprietary to Helora Labs and may not be reproduced or redistributed without written permission.

Individual reports generated for your account are yours to use for your internal business purposes. You may share a report with a client or counterparty in connection with a specific transaction, but may not republish or commercialize reports at scale.

8. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and Quebec Law 25.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR PROPERTY WILL BE COVERED BY THE UNDERLYING DATASETS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELORA LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM LENDING DECISIONS, PROPERTY TRANSACTIONS, OR REGULATORY ACTIONS TAKEN IN RELIANCE ON OUR REPORTS.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR CREDITS IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Helora Labs and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or non-payment. Upon termination, unused credits will be refunded on a pro-rata basis at our discretion. You may terminate your account at any time by contacting us.

13. Changes to the Service and Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

We may modify, suspend, or discontinue the Service or any part of it at any time with reasonable notice.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Helora Labs with respect to the Service and supersede all prior agreements, representations, and understandings.
